Terms of Service

This Agreement applies to every website Techydesk builds and hosts for a client ("Client", "you"). You accept it by ticking "I agree to the Terms" at checkout, by replying "Agreed" to our proposal email, or by paying the Setup Fee. Your plan, fees and scope are set out in that checkout page or proposal email (the "Order"), which is part of this Agreement. If the two conflict, the Order wins. Custom projects may instead be covered by a separate signed agreement, and where one exists, that agreement governs.

1. What we do

1.1 Free demo. We may build a demo of your site before you commit. You don't owe anything for the demo. Until you accept the Order and pay the Setup Fee, the demo belongs to Techydesk and you may not use or copy it.

1.2 Build. Once you accept the Order and pay, we design and build the website described in the Order ("Site"). The build includes up to 2 rounds of revisions. Anything outside the Order, or more revision rounds, is a Change (section 4).

1.3 Hosting and care. While your plan is active, we host the Site and keep it running, and we make the monthly content edits your plan includes. Unused edits do not carry over to the next month.

1.4 What's not included unless the Order says so: copywriting beyond light editing, photography, paid stock images, paid advertising, email mailbox hosting, third-party subscription costs, and any guaranteed search ranking.

2. Your responsibilities

2.1 You give us your content (text, logos, photos, prices, hours, menus, and so on) and answer our questions in reasonable time. If we're waiting on you for more than 30 days, we may treat the build as finished and launch with what we have, or pause the project.

2.2 You confirm that you own, or have permission to use, everything you give us. You also confirm that your content is accurate, lawful, and doesn't infringe anyone's rights. You are responsible for the claims your business makes on the Site, including prices, health, legal and financial claims.

2.3 You follow the Acceptable Use rules in Schedule B.

2.4 You are responsible for complying with any laws that apply to your business, including CASL for any marketing email you send to people who contact you through the Site.

3. Fees and payment

3.1 Setup Fee. The one-time Setup Fee for your plan is due at checkout. Work starts once it's paid.

3.2 Monthly Fee. The Monthly Fee for your plan starts on the Launch Date and is then charged in advance each month to the card you saved at checkout, until you cancel. If the launch is delayed because we're waiting on you (section 2.1), the Monthly Fee may start 30 days after you paid the Setup Fee. By ticking the box at checkout, you authorize these recurring charges.

3.3 Taxes. All fees are in Canadian dollars. GST and any other applicable taxes will be added once Techydesk is required to charge them; we'll give you 30 days' notice first.

3.4 Refunds. The Setup Fee is refundable in full if you cancel before we start the build. After that it is non-refundable, because the work has been done. Monthly Fees are not prorated or refunded for partial months.

3.5 Failed payments. If a payment fails, Stripe retries it and emails you a link to update your card. If it remains unpaid 15 days after the first failed attempt, we may suspend the Site until you pay. If it's still unpaid after all retries, your plan may be cancelled under section 7.2. Overdue amounts bear interest at 18% per year (1.5% per month).

3.6 Price changes. We may change the Monthly Fee with at least 30 days' written notice. The new price applies from your next billing date after the notice period. If you don't accept it, you may cancel under section 7.

4. Changes

Requests outside your plan, such as new pages, new features, integrations or redesigns, are quoted in writing (email is fine). We only start once you approve the quote. Approved quotes become part of this Agreement.

5. Launch and acceptance

When the Site is ready, we'll ask you to review it. Within 7 days, you either approve it (an email reply is fine) or send us a list of specific defects. If you do neither within 7 days, or if you start using the Site publicly, the Site is accepted. The day it goes live is the "Launch Date".

6. Ownership

6.1 Your stuff. You keep full ownership of your content, your business name, your logo, and your domain name.

6.2 Our stuff. Techydesk keeps ownership of its code, templates, components, design systems, tools, and know-how ("Techydesk Materials"), even where they are used in your Site. While your plan is active and paid, you have a licence to use the Site, including the Techydesk Materials in it.

6.3 Custom logo and graphics. Once you've paid the Setup Fee, you own the logo and brand graphics we create specifically for you. You may use them anywhere, with or without Techydesk.

6.4 Domain and accounts. Your domain name is registered in your name, or transferred to you on request. Accounts tied to your business, such as Google Business Profile, Search Console and analytics, are owned by you, and Techydesk is added as a user. If we register something on your behalf, we hold it for you and hand it over on request.

6.5 Footer credit and portfolio. The Site carries the footer credit "Designed and Maintained by Techydesk Web Services" while we maintain it. We may show the Site, and screenshots of it, in our portfolio and marketing.

7. Term and cancellation

7.1 No long-term contract, no cancellation fees. Your plan runs month to month. You can cancel anytime through the billing link in your receipts, or by emailing gopi@techydesk.com. Cancellation takes effect at the end of your current paid month, and you won't be charged again. We may cancel with 30 days' written notice.

7.2 We may end it immediately if you breach Schedule B, or if a payment is still unpaid after all retries under 3.5.

7.3 What happens when it ends:

  • (a) The Site stays live until the end of the last paid month, and then we take it offline.
  • (b) We send you an export of your content, including text, images you supplied, and contact-form submissions we store, within 14 days of your request. Requests must be made within 60 days of cancellation. After that we may delete your data.
  • (c) We transfer the domain and any accounts held for you.
  • (d) Site buyout (optional). If you want to keep the Site itself, including its design and code, and host it elsewhere, you may buy a perpetual licence for a one-time buyout fee, which we quote in writing before handover. We then hand over a working copy of the Site. Techydesk Materials stay ours, but you may keep using them inside that Site. Footer credit may then be removed.

7.4 Sections 3 (amounts owed), 6, 8, 9, 10 and 12 survive termination.

8. Confidentiality and privacy

8.1 Each party keeps the other's non-public business information confidential and uses it only for this Agreement.

8.2 Personal information handled through the Site, such as contact-form submissions, is covered by Schedule A.

9. Warranties and disclaimers

9.1 We'll perform the services with reasonable skill and care.

9.2 We aim for the Site to work on current browsers and mobile devices, to meet WCAG 2.1 AA accessibility guidelines, and to follow current SEO best practice. However, we do not guarantee search rankings, traffic, leads, sales, uninterrupted uptime, or compliance with any specific accessibility law.

9.3 The Site relies on third-party providers, such as hosting, DNS, email delivery and databases. We aren't responsible for their outages or changes. If we need to, we may replace a provider with an equivalent one.

9.4 Except as stated in this Agreement, the services are provided "as is". All other warranties and conditions are excluded, express or implied, including merchantability and fitness for a particular purpose.

10. Liability

10.1 Techydesk's total liability under this Agreement is limited to the fees you paid in the 12 months before the claim arose.

10.2 Neither party is liable for indirect or consequential losses, including lost profits, lost data, lost business, or loss of reputation.

10.3 These limits do not apply to fraud or wilful misconduct, to your payment obligations, or to section 10.4.

10.4 You will indemnify Techydesk against third-party claims that arise from your content, your products or services, or your breach of Schedule B.

11. Suspension and security

We may temporarily take the Site offline, or remove specific content, if we need to in order to deal with a security incident, a legal demand, or a breach of Schedule B. Where we reasonably can, we'll tell you first.

12. General

12.1 Governing law. This Agreement is governed by the laws of Alberta and the federal laws of Canada that apply there. The parties submit to the courts of Alberta sitting in Edmonton.

12.2 Electronic acceptance. Ticking "I agree" at checkout, replying "Agreed" by email, or paying the Setup Fee is your electronic acceptance of this Agreement, and it is as binding as a signature. Notices are sent by email to the address you gave at checkout, and to gopi@techydesk.com for us.

12.3 Entire agreement. This Agreement (including its Schedules), the Order, and any approved Change quotes are the entire agreement between the parties. Changes to this Agreement must be in writing and accepted by both parties. Email is acceptable for Changes under section 4.

12.4 Relationship. Techydesk is an independent contractor. We may use subcontractors and remain responsible for their work.

12.5 Assignment. Neither party may assign this Agreement without the other's consent, except that Techydesk may assign it to a successor of its business.

12.6 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control. This does not excuse payment obligations.

12.7 Severability. If any part of this Agreement is unenforceable, the rest still applies.

Schedule A — Privacy and Personal Information

A1. Roles. The Client is the organization responsible for personal information collected through the Site, such as visitor enquiries and bookings, under Alberta's Personal Information Protection Act (PIPA) and any other applicable law. Techydesk acts as the Client's service provider.

A2. What we do with it. Techydesk collects, stores and uses that information only to provide the services and on the Client's instructions. We never sell it, and we never use it for our own marketing.

A3. Safeguards. We use reasonable security measures: encrypted connections (HTTPS), access limited to people who need it, spam/bot protection on forms, and secrets kept out of code.

A4. Where it's stored. Our providers may store or process data outside Canada. Currently these are Cloudflare (hosting and content delivery, on a global network that includes the United States), our database provider (Neon or Cloudflare), and Oracle Cloud Infrastructure (email delivery). The Client's privacy policy must disclose this. We'll provide a starter privacy policy for the Site, but the Client is responsible for its accuracy.

A5. Breaches. If we become aware of unauthorized access to personal information on the Site, we'll notify the Client without undue delay and help the Client meet its notification obligations.

A6. On termination, we return or delete the personal information as set out in section 7.3(b).

Schedule B — Acceptable Use

The Client will not use the Site, or ask Techydesk to publish, anything that:

  • is illegal, fraudulent, defamatory, hateful or harassing, or that infringes intellectual property or privacy rights;
  • is adult sexual content, malware, phishing, or that facilitates spam;
  • promotes illegal goods or services, or makes false or misleading claims to consumers; or
  • puts the hosting infrastructure or other clients at risk.

Techydesk may refuse, remove, or suspend content that breaches this Schedule.
